1.1 These Terms and Conditions apply to all quotations, contracts and sales of goods supplied by Unity Oils Ltd ("the Company").
1.2 By placing an order, the Customer confirms acceptance of these Terms and Conditions.
1.3 These Terms shall prevail over any terms or conditions submitted by the Customer unless expressly agreed in writing by a Director of Unity Oils Ltd.
1.4 No employee, representative or agent of the Company has authority to amend these Terms unless confirmed in writing by a Director.
2.1 All quotations are provided without obligation and are subject to availability.
2.2 Unless otherwise stated, quotations remain valid for seven (7) days from the date of issue.
2.3 Prices may be amended or withdrawn at any time prior to acceptance.
3.1 Orders shall only become binding once accepted by the Company.
3.2 The Company reserves the right to refuse any order without obligation to provide a reason.
3.3 Once accepted, orders may not be cancelled or amended without the Company's written consent.
4.1 All prices are exclusive of VAT unless otherwise stated.
4.2 Prices may be varied where increases occur in the cost of raw materials, transport, fuel, exchange rates, duties, taxes or any other costs outside the Company's reasonable control.
4.3 Additional costs resulting from failed deliveries, restricted access, excessive waiting time or customer-requested delivery changes may be charged to the Customer.
5.1 Payment shall be made strictly in accordance with the agreed payment terms.
5.2 The Company reserves the right to require payment in advance or on a pro forma basis.
5.3 Credit facilities are granted entirely at the Company's discretion and may be reduced, suspended or withdrawn at any time without notice.
5.4 The Company reserves the right to carry out credit checks, obtain trade references and monitor the Customer's financial position both before and during any trading relationship.
5.5 Where considered appropriate, the Company may require additional security, including but not limited to personal guarantees, advance payment or other financial assurances before granting or continuing credit facilities.
5.6 If payment is not received by the due date, the Company reserves the right to:
5.7 Interest may be charged on overdue accounts in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 together with any statutory compensation.
5.8 The Customer shall indemnify the Company against all reasonable legal fees, debt recovery costs, collection charges and associated expenses incurred in recovering overdue debts.
6.1 Delivery dates are estimates only and shall not be of the essence.
6.2 Risk in the goods shall pass to the Customer immediately upon delivery.
6.3 Delivery shall be deemed complete once the goods have been unloaded at the agreed delivery point.
6.4 The Company shall not be liable for delays caused by circumstances beyond its reasonable control.
7.1 The Customer shall inspect all goods immediately upon delivery.
7.2 Any shortages, transit damage or defects must be notified to the Company in writing within forty-eight (48) hours of delivery.
7.3 Goods shall be deemed accepted unless notification is received within this period.
7.4 No claim will be accepted where goods have been used, repacked or resold unless required by applicable law.
8.1 Ownership of all goods supplied shall remain with Unity Oils Ltd until all monies owed by the Customer have been paid in full.
8.2 Until ownership passes, the Customer shall:
8.3 If payment becomes overdue, the Company shall have the right to enter the Customer's premises, with or without vehicles, to recover any unpaid goods.
8.4 Recovery of goods shall not prejudice any other rights available to the Company, including recovery of outstanding debts.
9.1 Where goods are supplied on reusable pallets or returnable transit packaging, ownership shall remain with Unity Oils Ltd unless otherwise agreed in writing.
9.2 Customers shall exchange or return pallets on a like-for-like basis wherever reasonably practicable.
9.3 The Company reserves the right to charge replacement costs for pallets or returnable packaging that are not returned, are damaged or are otherwise lost.
10.1 Following delivery, the Customer shall be solely responsible for storing and handling products in accordance with the relevant product specifications and applicable food safety legislation.
10.2 The Company accepts no responsibility for deterioration, contamination or damage resulting from incorrect storage or handling after delivery.
11.1 The Customer shall notify the Company immediately of any product complaint, quality issue or food safety concern.
11.2 The Customer shall cooperate fully with any product withdrawal or recall initiated by Unity Oils Ltd or any competent regulatory authority.
The Company shall not be liable for any delay or failure to perform its obligations where such delay or failure arises from events beyond its reasonable control, including but not limited to:
13.1 Nothing within these Terms excludes liability for death, personal injury, fraud or any liability which cannot lawfully be excluded.
13.2 Subject to Clause 13.1, the Company's total liability arising from any claim shall not exceed the invoice value of the goods giving rise to the claim.
13.3 Under no circumstances shall the Company be liable for any indirect, consequential or economic loss including, but not limited to:
14.1 The Customer shall not withhold, deduct or set off any payment due to the Company against any actual or alleged claim unless expressly agreed in writing by the Company.
15.1 The Customer shall comply with all applicable laws and regulations relating to the storage, handling, transport and use of the Company's products.
15.2 The Customer shall ensure that products supplied are used only for their intended purpose.
16.1 Unity Oils Ltd shall process personal data in accordance with the UK General Data Protection Regulation (UK GDPR), the Data Protection Act 2018 and any other applicable data protection legislation.
17.1 These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.
17.2 Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Courts of England and Wales.
